A "Domestic" LLC will be a limited liability company organized in Missouri by filing Articles of Organization.
The name of the company must contain one of the following words or abbreviations: "Limited Liability Company," "Limited Company," LLC," "LC," "L.L.C.," or "L.C."

Filing Fees and Options

The fee for the Articles of Organization is $105 if submitted by paper. The fee for an online filing is $50.
You can submit your Articles online, by mail, or delivery to the Secretary of State's Office.

Missouri Annual Report

LLC's do NOT have an Annual Report requirement in Missouri.


How to Register a Foreign LLC in Missouri?

A "Foreign" LLC will be a limited liability company that was organized in another state and that wishes to register to conduct business in Missouri. You will file the Application for Registration of a Foreign Limited Liability Company.
The name used in Missouri must contain one of the following words or abbreviations: "Limited Liability Company," "Limited Company," LLC," "LC," "L.L.C.," or "L.C."

What else do I need to include?

A current Certificate of Existence or Certificate of Good Standing from the state of organization must accompany this application. This Certificate must be dated within 60 days of the filing to Missouri.

How to Start a Corporation in Missouri?

A "Domestic" corporation will be incorporated in Missouri by filing Articles of Incorporation.

Filing Fees and Options

The filing fee is $58.00 if no more than 30,000 shares are issued and the par value does not exceed $30,000. If either amount is exceeded, the fee will be based upon authorized capital. The fee will be $55.00 for any amount up to $30,000 and an additional $5.00 for each additional $10,000 of authorized capital. Add $3.00 to this total for the filing fee. Refer to the Secretary of State's Schedule of Fees and Charges for a complete breakdown.

Missouri Annual Report

All corporations registered in Missouri are required to file an annual report. For corporations incorporated or registered on or after 7/1/2003, the due date is by the end of the anniversary month of the incorporation or qualification. An annual report form will be sent to the registered agent. If submitting by mail, this state issued form must be used. The annual report can also be filed online.

A "Foreign" corporation will be a corporation that was organized in another state and that wishes to register and conduct business in Missouri. You will file the Application for Certificate of Authority for a Foreign For-Profit Corporation.
