Filing Fees and Options
The filing fee is $58.00 if no more than 30,000 shares are issued and the par value does not exceed
$30,000. If either amount is exceeded, the fee will be based upon authorized capital. The fee will
be $55.00 for any amount up to $30,000 and an additional $5.00 for each additional $10,000 of
authorized capital. Add $3.00 to this total for the filing fee. Refer to the Secretary of State's
Schedule of Fees and Charges for a complete breakdown.

All corporations registered in Missouri are required to file an annual report. For corporations
incorporated or registered on or after 7/1/2003, the due date is by the end of the anniversary month
of the incorporation or qualification. (If the corporation existed prior to 7/1/2003, the due date
will be by the end of the month indicated on their last annual report.)
An annual report form will be sent to the registered agent. If submitting by mail, this state issued
form must be used. The annual report can also be filed online.
A "Foreign" corporation will be a corporation that was organized in another state and that wishes to register and conduct business in Missouri. You will file the Application for Certificate of Authority for a Foreign For-Profit Corporation.
What else do I need to include?A current Certificate of Existence or Certificate of Good Standing from the state of incorporation must accompany this application. This Certificate must be dated within 60 days of the filing to Missouri.
