Nevada remains a top state for incorporation and commercial filings for several reasons. They have a favorable corporate tax structure, including no corporate income tax and no franchise tax. If you plan to incorporate in Nevada, you can file online via their SilverFlume Business Portal. They have an easy step-by-step form to guide you through the incorporation process. Online filings are processed immediately. You can also utilize this tool to file subsequent and ongoing filings, such as the Initial List and Annual List of Officers and the State Business License.
If you prefer, you can file the hard copy of the Articles of Incorporation, which can be hand delivered, mailed, or faxed to the Secretary of State. This application requires the signature of the registered agent. Original signatures are not required.


Filing Fees

The filing fee is based on the value of authorized stock. The minimum fee is $75 for authorized stock valued at $75,000 or less. There are a number of expedited filing options, including an additional $125 for 24 hour filing, an additional $500 for 2 hour filing, and an additional $1000 for 1 hour filing.


What else will be required?

The Initial List of Officers will be due on or before the last day of the first month after the filing of the Articles of Incorporation and annually thereafter. The fee for this filing is $150. The State Business License fee of $500 is paid with this filing as well.


How to Register as a Foreign Corporation in Nevada?

To register as a Foreign Corporation in Nevada, you will need to file the form entitled Qualification to do Business in Nevada. This application requires the signature of the registered agent. Original signatures are not required.


What else do I need to include?

A file stamped copy of the document most recently filed by the corporation in its home jurisdiction verifying the total authorized stock must be included. If the application is for a nonprofit, non-stock corporation, provide official verification.
