Tuesday, March 1st Is the Deadline to File your State of Rhode Island Annual Report for a Corporation!  

If you have already filed your 2022 Annual Report or requested that URS assist you with this filing prior to this notice please disregard this notice. 

This is a courtesy reminder that your Rhode Island annual report is due on or before, Monday, March 1st!  Please do not miss this important deadline.  Failure to file by March 1st will result in a late filing penalty of $25 applied April 1^st.  Reports can be filed electronically at https://www.sos.ri.gov/divisions/business-services/ri-business/file-your-annual-report (There is an Online Filing Enhanced Access Fee of $2.50 before April 1 and $3.00 after April 1) or URS can file the report for a small service fee.  Please contact us if you need assistance with this annual requirement.  We are here to help!

Most frequent reasons for annual report rejections with the State of Rhode Island:

• You’re filing your first annual report online and you neglected to delete the title of “Incorporator” and provide the names and addresses of the current officers (president, vice-president, secretary and treasurer) of the business corporation.
• You have neglected to provide a brief description of the character of business conducted in Rhode Island.
• The issued shares that you have provided are in excess of the number of authorized shares for your business corporation. An amendment must be filed in order to increase the authorized shares of a business corporation.
• You have not indicated how many shares the business corporation has issued.
