How to Start an LLC in Arizona?

To organize an LLC in Arizona, you will file Articles of Organization. It is required is that the name of the company contain the words "limited liability company" or "limited company" or the abbreviations "LLC," L.L.C.," "L.C.," or "LC."
Submit the following to the Arizona Corporation Commission, either by mail or in person:

  1. Cover Sheet (all documents need to be submitted with the state issued Cover Sheet)
  2. Completed Articles of Organization
  3. LLC Member Structure Attachment or LLC Manager Structure Attachment
  4. Signed Statutory Agent Acceptance
  5. Payment ($50 filing fee. Add $35 for expedited filing which is recommended in Arizona.)
Upon approval of this filing, a publication is required of the Notice of LLC Formation. The Arizona Corporation Commission will send a letter containing information on how to publish.


How to Register a Foreign LLC in Arizona?

You will be a Foreign LLC in Arizona if you formed or organized your LLC in another state prior to your registration in Arizona. Name requirements are the same as the above for organizing an LLC in Arizona. A name reservation is not required.
Submit the following to the Arizona Corporation Commission, either by mail or in person:

  1. Cover Sheet (all documents need to be submitted with the state issued Cover Sheet)
  2. Completed Application for Registration of Foreign LLC
  3. Certificate of Existence or Good Standing from state or country of organization dated not more than 60 days before its delivery to the Arizona Corporation Commission
  4. LLC Member Structure Attachment or LLC Manager Structure Attachment
  5. Signed Statutory Agent Acceptance
  6. Payment ($150 filing fee. Add $35 for expedited filing which is recommended in Arizona.)
A publication is not required for a Foreign LLC.


How to Start a Corporation in Arizona?

You will be a Domestic corporation if you incorporate in Arizona. To accomplish this, you will file Articles of Incorporation. (You will be considered a Foreign corporation in any state you may subsequently register in.) Name reservation is not required, however the name shall contain one of the following words or an abbreviation of the word: "association," "bank," company," "corporation," "limited," or "incorporated." Submit the following to the Arizona Corporation Commission, either by mail or in person:

  1. Cover Sheet (all documents need to be submitted with the state issued Cover Sheet)
  2. Completed Articles of Incorporation, signed by each and every incorporator
  3. Director Attachment, if applicable
  4. Incorporator Attachment, if applicable
  5. Signed Statutory Agent Acceptance
  6. Certificate of disclosure with any applicable attachments
  7. Payment ($60 filing fee. Add $35 for expedited filing which is recommended in Arizona.)
Publication is required after the Arizona Corporation Commission approves the filing. The ACC will send a letter containing information on how to publish.


How to Register a Foreign Corporation in Arizona?

If you have incorporated in another state and wish to register in Arizona, you will be considered a Foreign Corporation. You must file the Application for Authority to Transact Business or Conduct Affairs in Arizona. The name requirements are the same as the above for a Domestic corporation. A name reservation is not required. Submit the following to the Arizona Corporation Commission, either by mail or in person:

  1. Cover Sheet (all documents need to be submitted with the state issued Cover Sheet)
  2. Completed Application for Authority
  3. Certificate of disclosure dated not more than 30 days prior to delivery to the ACC
  4. Certified Copy of Articles of Incorporation certified not more than 60 days prior delivery to ACC
  5. Certified Copy of Amendments (if applicable) to Articles of Incorporation certified not more than 60 days prior deliver to the ACC
  6. Certificate of Existence or Certificate of Good Standing from state or country of incorporation dated not more than 60 days prior delivery to the ACC
  7. Signed Statutory Agent Acceptance
  8. If it applies, approval letter from the AZ Department of Insurance or the AZ Department of Financial Institutions
  9. If it applies, licensing authority statement
  10. Payment ($175 filing fee. Add $35 for expedited filing which is recommended in Arizona.)
Publication is required after the Arizona Corporation Commission approves the filing. They will send a letter containing information on how to publish.
