The name of the company must contain a corporate designation such as Corporation, Corp., Incorporated, Inc., Company, or Co. The application will require the signature of the registered agent. Minimum fee is $70 ($35 filing fee + $35 designation of registered agent fee). Additional fees apply if you would like a certified copy of the filing or a certificate of status, both optional.


How to Register a Foreign Corporation in Florida?

In order to transact business in Florida as a Foreign Corporation, you must file the Application by Foreign Corporation for Authorization to Transact Business in Florida. The business name must contain one of the following words or abbreviations: "Incorporated," "Company," "Corporation," "Inc.," "Co.," or Corp." The application will require the signature of the registered agent. Submit completed application to Division of Corporations by mail along with a Certificate of Existence (sometimes called Certificate of Good Standing) from the state of incorporation. The Certificate of Existence must be dated no more than 90 days before delivery of application to FL Department of State. Filing fee is $70. Additional fees apply if you would like a certified copy of the filing or a certificate of status, both optional.

If you choose to organize your LLC in Florida, you will need to file Articles of Organization for Florida Limited Liability Company. You can file by mail or online.
