If you plan to incorporate in Maryland, you will file Articles of Incorporation for a Stock Corporation. The company name must contain one of the following words or abbreviations: "Corporation," "Incorporated," "Limited," "Inc.," "Corp.," or "Ltd." The filing fee is $100 plus a $20 organization and capitalization fee, for a total filing fee of $120. The $20 fee applies if the aggregate par value of stock is not over $100,000. If stock is over $100,000 contact the Charter Division for information on fee. Add $5 if you would like the original document mailed back to you. Otherwise it will be destroyed. Filing by mail can take 10 weeks or more. We highly recommend either fax filing or filing online via the Maryland Central Business Licensing and Registration Portal. Expedited filing is available for an additional $50 and will be responded to within 7 business days. If faxing or filing online, the filing will automatically be considered an Expedited filing and the additional $50 fee will apply.

In order to transact business in Maryland as a Foreign Corporation, you must file the Foreign Corporation Qualification with the State Department of Assessments and Taxation. A Certificate of Good Standing or Certificate of Existence from the state of incorporation must also be submitted with this filing. The filing fee is $100. Add $5 if you would like the original document mailed back to you. Filing by mail can take 10 weeks or more.
