A "Domestic" corporation will be incorporated in Michigan by filing Articles of Incorporation for use by Domestic Profit Corporations. The company name must contain one of the following words or abbreviations: "Corporation," "Company," "Incorporated," "Limited," "Corp.," "Co.," "Inc.," or "Ltd."

The filing fee for the Articles of Incorporation is based upon the number of authorized shares. There is also a $10 nonrefundable fee. The minimum filing fee is $60 (for 1-60,000 shares). This includes the $10 nonrefundable fee. The routine filing time is approximately 5-10 business days. Filings can be submitted to the Department of Licensing and Regulatory Affairs by fax, mail, email, or in person.

An Annual Report will be due on or before May 15 of each year beginning the year after incorporation. A preprinted statement or Information Update will be sent to the company's resident agent approximately 3 months before the due date. A "Foreign" corporation will be a corporation that was organized in another state and that wishes to register and conduct business in Michigan. You will file the Application for Certificate of Authority to Transact Business or Conduct Affairs in Michigan.

A Certificate of Existence or Certificate of Good Standing from the state of incorporation must also be included. This must be dated within 30 days of the filing to Michigan.

The fee for the Application for Certificate of Authority is $60. The routine filing time is approximately 5-10 business days.
