How to Start an LLC in New Mexico?

A "Domestic" LLC will be a limited liability company organized in New Mexico by filing the Limited Liability Company Articles of Organization.
The name of the company must contain one of the following words or abbreviations: "Limited Liability Company," "Limited Company," L.C.," "L.L.C.," "LLC," or "LC." The word "Limited" may be abbreviated ad "Ltd." and "Company" may be abbreviated as "Co."

Filing Fees and Options

The fee for the Articles of Organization is $50.
Filings can be submitted by mail or in person. Include an original and a copy of the application.
Expedited options include an additional $150 for same day filing (if received by 2:00 pm). There is also a 2 day filing option for an additional $100. The expedited payment must be separate from the actual filing payment and it is non-refundable.

Annual Report

LLC's in New Mexico are NOT required to file an Annual Report.


How to Register a Foreign LLC in New Mexico?

A "Foreign" LLC will be a limited liability company that was organized in another state and that wishes to register and conduct business in New Mexico. You will file the Foreign Limited Liability Company Application for Registration.

What else do I need to include?

An original Certificate of Existence or Certificate of Good Standing from the state of organization must also be included. This must be dated within 30 days of the filing to New Mexico.

The fee for the Application for this application is $100.
Filings can be submitted by mail or in person. Include an original and a copy of the application.

A "Domestic" corporation will be incorporated in New Mexico by filing the Profit Corporation Articles of Incorporation. The name of the company must contain one of the following words or an abbreviation of the word: "Corporation," "Company," "Incorporated," or "Limited."

The fee for the Articles of Incorporation is a minimum of $100, with a maximum of $1000. The fee is based on $1.00 for each 1,000 shares of the total amount of authorized shares.
Filings can be submitted by mail or in person. Include an original and a copy of the application.
Expedited options include an additional $150 for same day filing (if received by 2:00 pm). There is also a 2 day filing option for an additional $100. The expedited payment must be separate from the actual filing payment and it is non-refundable.

New Mexico Corporate Report

All Domestic and Foreign Corporations shall file an Initial Report within 30 days of incorporation. Reports will then be due biennially after the initial filing, on or before the 15th day of the third month following the close of its taxable year. Initial and biennial reports can be filed online.
