If you plan to incorporate in New York, you will file a Certificate of Incorporation. The company name must contain the word "Incorporated," the abbreviation "Inc.," or other words or abbreviations found in Section 301 of the Business Corporation Law that indicates it is a corporation. The filing fee is $125, plus the applicable tax on shares. There is a minimum tax of $10 which authorizes the corporation to issue a maximum of 200 shares no par value or a par value of all authorized shares up to $20,000. This tax should be included with the filing fee. This can be filed by mailing or faxing the completed Certificate of Incorporation and appropriate filing fees to the New York Department of State, Division of Corporations. This can also be filed online via the Department of State On-Line Filing System. Expedited filing services include an additional $25 for 24 hour filing; $75 for same day filing; or $150 for 2 hour filing.
In order to transact business in New York as a Foreign Corporation, you will file the Application for Authority. The company name must contain the word "Incorporated," the abbreviation "Inc.," or other words or abbreviations found in Section 301 of the Business Corporation Law that indicates it is a corporation. If it does not, an approved corporate ending must be added for use in New York. You must include a Certificate of Existence from the state of incorporation with this application, dated within one year of the filing. If the corporation has been conducting business in New York State prior to filing the Application for Authority, a consent from the New York State Tax Commission must be obtained and included with this filing. The filing fee is $225. This can be filed by mailing or faxing the completed Application for Authority and appropriate filing fees to the New York Department of State, Division of Corporations. If you choose to organize your LLC in New York, you will file the Articles of Organization. The name
of the company must contain the words "Limited Liability Company" or one of the following

completed Articles of Organization and appropriate filing fee to the New York Department of State,
Division of Corporations. This can also be filed online via the Department of State On-Line Filing

**Publication requirement**
There is a requirement that a copy of the Articles of
Organization, or a notice related to the filing, be published in two newspapers for six consecutive
weeks. The newspapers must be designated by the county clerk of the county where the LLC's office is
located, as indicated in the Articles of Organization. An affidavit of the publications will be
provided by each newspaper. The affidavits of the publications, along with a Certificate of
Publication, must then be submitted to the New York Department of State, Division of Corporations
with a $50 filing fee. This must be complete within 120 days after the filing of the Articles of
Organization. See Section 206 of the Limited Liability Company Law for specific details.
