If you plan to incorporate in South Carolina, you will file Articles of Incorporation. Submit 2 copies of the application by mail or delivery to the Secretary of State's office. This must be accompanied by Initial Annual Report of Corporations, Form CL-1. The total filing fee is $135, which includes $110 for the Articles and a $25 fee for the Initial Annual Report.
Filing time is approximately 2 business days. A filed copy will be returned if the sender files in duplicate and includes a self-addressed stamped envelope.


How to Register a Foreign Corporation in South Carolina?

In order to transact business in South Carolina as a Foreign Corporation, you must file the Application by a Foreign Corporation for a Certificate of Authority to Transact Business in the State of South Carolina. Submit 2 copies of the application by mail or delivery to the Secretary of State's office. This must be accompanied by Initial Annual Report of Corporations, Form CL-1.
