If you plan to incorporate in Tennessee, you will file a For-Profit Corporation Charter. This can be filed online. If filed online, a small convenience fee will apply. To avoid the convenience fee, you can print and mail the online form to the Secretary of State's office. You can also fill out a paper form and mail or deliver to the Secretary of State's office.
The filing fee is $100.


How to Register as a Foreign Corporation in Tennessee?

To register as a Foreign Corporation in Tennessee, you will file the Application for Certificate of Authority, For-Profit Corporation. This can be filed online. If filed online, a small convenience fee will apply. To avoid the convenience fee, you can print and mail the online form to the Secretary of State's office. You can also fill out a paper form and mail or deliver to the Secretary of State's office.
You must also submit a Certificate of Existence or Certificate of Good Standing from the state of incorporation. This must be dated no more than 2 months prior to the filing with Tennessee.
Filing fee is $600.


How to Start an LLC in Tennessee?

If you plan to organize your LLC in Tennessee, you will file Articles of Organization. The name of the company must contain one of the following words or abbreviations: "Limited Liability Company," "LLC," or "L.L.C." The application can be filed online. If filed online, a small convenience fee will apply. To avoid the convenience fee, you can print and mail the online form to the Secretary of State's office. You can also fill out a paper form and mail or deliver to the Secretary of State's office.
The filing fee is $50 per member in existence on the date of the filing, with a minimum fee of $300 and a maximum fee of $3000.


How to Register a Foreign LLC in Tennessee?

To register as a Foreign LLC Tennessee, you will file the Application for Certificate of Authority, Limited Liability Company. The application can be filed online.
